Assistant Manager - Group Company Secretarial

Job Description

 

Compliance of Statutory Requirements

 

  • Responsible for company statutory records from preparing and reviewing the annual statutory documents for lodgement with the authorities in a timely manner.

  • Procure all necessary confirmations and information from various institutions which are required for disclosure.

  • Liaison with external auditors, share registrar, lawyers, consultants pertaining to statutory requirements for all corporate exercises undertaken by the Group of Companies.

  • Supervise and monitor the updating and filing of all statutory records and Company/Group's records in organized manner.

  • Involved in full-ledged company secretarial functions of the Group as a whole includes dealing with government and regulatory authorities.

  • Ensure compliance of company secretarial matters as required under the Companies Act and other relevant legislations.

 

Board and Board Committee Meetings

 

  • Handling Boards and Shareholder matters as assigned, which include but not limited to organizing meetings, circulating the governance agenda, recording minutes of meetings, drafting resolutions and preparing board papers (if any).

  • Ensure Minutes of Meetings are prepared timely and review the minutes to ensure completeness and accuracy.

  • Ensure all pre-meeting arrangements are well taken care of. During the meeting, to assist the Company Secretary with all meeting conducts and ensure all pre-requisites have been attended to.

  • Communication to Management on actions required after the meeting and manage the updates accordingly.

  • Rendering support and attending to requests of various departments include furnishing Board's approval and decisions statements.

 

Secretarial Administration & Records Management

 

  • Reviewing user requirements, documentations, preparing approval papers and participate in vendors' review and products demo for secretarial related software and applications.

  • Creation of various master listings and ensure timely updating of all the summaries, reports and listing to facilitate perusal of high-level information by Senior Management.

  • Supervising and ensure all records are maintained in an orderly and organized manner.

  • Planning all secretarial administrative tasks and supervise digitalizing of Companies' records.

  • Assist the Head of Department in monitoring and supervising the Department's budget.

 

Corporate Governance Implementation

 

  • Assist the Company Secretary to gather all relevant and related information required prior to projects kick-start, pre-liminary research and drafting.

  • Preparation of information pack and resolution to facilitate the approval process of the said projects.

  • Assist in the formation of various board and governance committees including amendments to its terms of reference and constitutions, be involved in due diligence process for corporate exercises, preparation of documentation for banking facilities, etc

  • Transparency in communication by uploading and updating the Board Policies to the EDMS or TEG Connect for access by senior management.

  • Involve in all projects being assigned to from time to time.

 

Qualification & Experience

ICSA Graduate or possess ICSA qualification with at least 5 years of experience in corporate secretarial practice.

  • Conversant with the requirements and provisions of the Companies Act 2016 and other relevant laws and regulations
  • Able to work independently with minimum supervision
  • Digitally forward and technology savvy
  • Meticulous with strong sense of responsibility
  • Good inter-personal skill, pro-active and cheerful personality
  • Good command of English both spoken and written.
